Unlike the majority of its competitors, the Company focuses only on snow and snow related products and services. It has the facilities, client base, processes and procedures and employees to upgrade another snow maintenance service provider as a tuck in or a bolt on to a counter-seasonal business such as landscaping maintenance, parking lot/ black top maintenance, property management and construction/ excavation, etc.
The founder and 50 percent (50%) shareholder would like to retire.
–The Company has developed a competitive advantage by investing in a brand name, PP&E, an equipment dealership and the processes and procedures to remove snow regardless of the severity of te storm.
–The equipment dealership and PP&E allow the Company to sell, install and repair equipment before, during and after a storm for its own fleet, its subcontractor fleets, and, for a fee, its competitor’s fleets.
–This year’s selling season (beginning in the Fall) should be very strong. After a large storm the smaller, cheaper competitors do not meet expectations and their clients look to make a change to the biggest and best.

–Increase the Company’s market share in facilities that have to be operational regardless of the severity of a storm or Communication, Transportation, Medical, Government facilities, etc.
–Add counter-seasonal services.
The Company has averaged $2,800,000 in sales and $818,000 in adjusted EBITDA over the past 3 years. Its clients are 100% commercial including state and local government. Calendar year 1Q13 sales exceeded all of 2012.
