Vectren's Subsidiary, Southern Indiana Gas and Electric Company Offers to Purchase Outstanding Tax Exempt Auction Rate Debt

EVANSVILLE, Ind., March 4 /PRNewswire-FirstCall/ -- Today, Vectren Corporation announced that its subsidiary, Southern Indiana Gas and Electric Company ("SIGECO") is offering to purchase four of the outstanding issues of tax exempt auction rate bonds listed below at par plus accrued interest, following the final auctions on those debt issues which occurred on March 4 and prior to their conversion to the daily interest rate mode on March 12. Notice was previously sent to the holders of this debt on February 20 informing them of the mandatory tender of this debt in order to convert it from the auction rate mode into the daily interest rate mode on March 12.
The following bonds are subject to this tender offer: -- $9,775,000 Warrick County, Indiana Adjustable Rate Pollution Control Revenue Bonds (Southern Indiana Gas and Electric Company Project), 1985 Series A-(CUSIP #936199AE8) -- $22,550,000 Warrick County, Indiana Adjustable Rate Environmental Improvement Revenue Bonds (Southern Indiana Gas and Electric Company Project), 1993 Series B-(CUSIP #936195AA4) -- $31,500,000 Indiana Development Finance Authority Pollution Control Refunding Revenue Bonds, (Southern Indiana Gas and Electric Company Project), 1998 Series A-(CUSIP #454913AM6) -- $22,200,000 Indiana Development Finance Authority Pollution Control Refunding Revenue Bonds, (Southern Indiana Gas and Electric Company Project), 1998 Series C-(CUSIP #454913AN4)
Those bondholders wishing to sell their bonds to SIGECO at par plus accrued interest, if any, prior to the March 12 mandatory conversion date should contact their respective broker-dealer for these bonds. However, SIGECO reserves the right to withdraw this offer to purchase these bonds at anytime.
