Empire Power Systems to Work With BluePoint Energy on Cogeneration and Demand Response Opportunities

Chapeau, Inc. d/b/a BluePoint Energy (OTCBB:CPEU) today announced it has received a letter of intent from Arizona-based Empire Power Systems, a Division of Empire Southwest, LLC, which ranks among the top Caterpillar equipment dealers in the world, pursuant to which Empire Power Systems will work with BluePoint Energy on cogeneration and demand response opportunities within Empire's sales and service territory of Arizona, Southeastern California and portions of Northern Mexico.
Among other things delineated in the letter, Empire will market BluePoint's EnviroGen(R) Energy Module gas cogeneration systems and BluePoint's demand response asset aggregation program (D-RAAP(TM)) and related solutions to Empire's end use customers and utilities, with BluePoint providing marketing and/or technical resources as necessary in support of Empire's efforts with qualified opportunities.
In addition, Empire and BluePoint will share in certain profits on terms to be mutually agreed based upon a variety of factors, including levels of risk and required engagement of each party on a project-by-project basis. It is also anticipated that Empire Power Systems will be chosen to execute the maintenance for any installed systems contemplated under this arrangement.
Empire and BluePoint agree to be the primary, although non-exclusive, parties involved in marketing and supporting of reciprocating gas engine cogeneration systems and demand response opportunities. It is further anticipated that each party will maintain open dialogue and will consent to a first right of refusal to work together in Empire's Caterpillar sales and service territory.

Empire has immediate cogeneration opportunities for digester gas applications that will be jointly developed utilizing incentives from the local utility, Arizona Public Service. Most of these opportunities involve dairy farms where methane gases from animal waste are captured to generate electricity and hot water for the dairy operations.
