Abcourt Mines Inc. Announces the Approval By Its Board of a Shareholder Rights Plan

Mr. Renaud Hinse, president and C.E.O. of Abcourt Mines Inc. (TSX VENTURE: ABI), is very pleased to announce that the Board of Directors of Abcourt Mines Inc. has adopted a Shareholder Rights Plan (the “Rights Plan”) designed to provide its shareholders with full and fair value in the event of possible take-over bids for Abcourt Class B shares. Adoption of the Rights Plan is subject to regulatory approval, including TSX Venture Exchange and will be submitted for ratification by shareholders at Abcourt’s Annual and Special Meeting of Shareholders on December 12, 2008.

Abcourt believes that the Rights Plan preserves the fair treatment of shareholders, and is generally consistent with Canadian corporate practice. The Rights Plan is not intended to prevent take-over bids. It’s objective is to ensure that, in the event of a bid for control through acquisition of Abcourt’s Class B shares, there are provisions in place to provide adequate time for competing bids to emerge, to give shareholders and Board of Directors adequate time to properly assess any such bids and to explore alternatives for maximizing shareholder value.

Upon signature of a rights plan agreement with Computershare Investor Services Inc., Abcourt will distribute one right of exercise for every Class B share outstanding. The rights issued under the Rights Plan become exercisable only when a person, including any party related to it, acquires or announces its intention to acquire 20% or more of Abcourt’s outstanding Class B shares without complying with the “permitted bid” provisions. Should such an acquisition occur, each right would entitle a holder, other than the “acquiring person” and persons related to it, to purchase Class B shares of Abcourt at a substantial discount to the market value of such shares.

The Board of Directors is not aware of any pending or threatened take-over bid for Abcourt’s Class B shares.

Abcourt Mines Inc. is an exploration and development company with strategically located properties in Northwestern Quebec, Canada. The Abcourt-Barvue project with 43-101 silver-zinc ore reserves and resources and the Elder mine with 43-101 gold resources are both past producers. Abcourt is now focused on bringing these two projects back in production and at the same time, it is working on other projects (Aldermac, Jonpol and Vendome), to increase its mineral resources inventory. A positive 43-101 feasibility study was recently completed on the Abcourt-Barvue project. In addition, mill equipment has been purchased.
