Allegiant Travel Company Announces Filing of Amended Universal Shelf Registration Statement

LAS VEGAS, April 21 /PRNewswire-FirstCall/ -- Allegiant Travel Company (Nasdaq: ALGT) today announced that it has filed an amended universal shelf registration statement on Form S-3/A with the Securities and Exchange Commission in connection with the offer and sale, from time to time on a delayed basis, of up to $150,000,000 aggregate amount of its common stock, preferred stock, debt securities (including convertible debt securities), depositary shares, warrants for any of the preceding, stock purchase contracts, stock purchase units, units consisting of combinations of the preceding, or combinations of the preceding securities. These securities, which may be offered in one or more offerings and in any combination, will in each case be offered pursuant to a separate prospectus supplement issued at the time of the particular offering that will describe the specific types, amounts, prices and terms of the offered securities. This filing amends the company's previous universal shelf registration statement on Form S-3 filed with the Securities and Exchange Commission on August 29, 2008.

Of the securities registered, up to 2.25 million shares of common stock may be offered for sale by PAR Investment Partners, L.P., the company's second-largest shareholder, up to 100,000 shares may be offered for sale by Maurice J. Gallagher, Jr., the company's CEO and largest shareholder, up to 50,000 shares may be offered for sale by Timothy P. Flynn, a member of the company's board of directors, and up to 162,500 shares may be offered by non-affiliated stockholders.

A registration statement relating to these securities has been filed with the Securities and Exchange Commission but has not yet become effective. These securities may not be sold nor may offers to buy be accepted prior to the time the registration statement becomes effective.
