Frontier Airlines Plans to Establish Holding Company Incorporated in Delaware

Feb. 1--Frontier Airlines Inc., a Colorado corporation, will become a wholly owned subsidiary of Frontier Airlines Holdings Inc. Frontier's headquarters will remain in Denver.
Frontier said the reorganized structure will allow it more flexibility for future expansion through acquisitions or joint ventures and more flexibility for financing. The company also expects to benefit from the business-friendly corporate laws in Delaware.
Shareholders will get the same number and percentage of shares of Frontier Airlines Holdings. Other airlines, such as United and American, have holding companies.
A Frontier shareholder meeting is tentatively scheduled for March 27 for approval of the plan.
