Satellite Healthcare to Acquire Capital Dialysis of Texas

Posted on: Monday, 4 December 2006, 09:01 CST

MOUNTAIN VIEW, Calif., Dec. 4 /PRNewswire/ -- Satellite Healthcare, Inc., a leader in the field of kidney disease, today announced that it has entered into a definitive agreement to acquire Capital Dialysis of Texas, Ltd., a physician-owned dialysis program based in Austin, Texas. As part of the deal, Satellite Healthcare will acquire Capital Dialysis's five existing dialysis centers which treat approximately 600 end-stage renal disease (ESRD) patients in Austin and the surrounding communities. Terms of the agreement were not disclosed.

"This transaction represents an important step for Satellite as we seek high quality expansion opportunities both inside and outside of California," said Mark Burke, Satellite Healthcare's chief executive officer. "We are pleased Capital Dialysis selected Satellite among a wide range of competitors. Our organizations share a common philosophy of clinical excellence and therapy innovation and we are happy to welcome them into the Satellite Healthcare family."

Capital Dialysis is an 11-physician nephrology practice that provides premium care to its patients through a variety of dialysis therapy options, including in-center hemodialysis, multiple home (self-care) dialysis therapies and in-patient hospital care.

"Our desire to acquire Capital Dialysis was further strengthened by the fact that the group has established itself as a market leader in the greater Austin market and early adopter of self-care therapies such as PD and daily home hemodialysis therapies. This is a perfect fit with our strategy of growing current and emerging self-care therapies through our WellBound division," stated Mr. Burke.

Paul C. Nader, M.D., current chief executive officer of Capital Dialysis, will provide transitional support and serve as medical director of the Metric center, one of the dialysis programs being acquired by Satellite, following the completion of the transaction.

"At Capital Dialysis, we have dedicated tremendous effort and resources to building a model kidney care delivery system that provides excellent dialysis services and medical care through the combined efforts of our physicians, nurses, technicians and staff," said Dr. Nader. "When considering potential acquirers, we were singly-focused on finding a company that shared a strong philosophical alignment with us and that was committed to continuing operations for the long haul. In Satellite Healthcare, we have found the perfect match for our group. We are very excited to be part of the Satellite team for years to come."
