PLI and Morrison & Foerster Break New Ground with the First Complete Guide to Highly Popular Exempt and Hybrid Securities Offerings

Posted on: Wednesday, 24 June 2009, 12:23 CDT

NEW YORK, June 24 /PRNewswire-USNewswire/ -- Practising Law Institute (PLI), the nation's leading provider of continuing legal education, and global law firm Morrison & Foerster LLP, announce the release of Exempt and Hybrid Securities Offerings, the first practical, plain-English resource to offer comprehensive legal, regulatory, and procedural guidance on these increasingly popular financing alternatives.

Written by noted securities practitioners who created several of today's leading financing techniques, Exempt and Hybrid Securities Offerings provides a solid understanding of the applicable regulations and legal framework for these transactions, as well as the implications of these regulations for structuring transactions. It is an invaluable resource for attorneys, investment bankers, CFO's and other market participants.

In today's challenging economic climate, corporations and financial institutions are using hybrid and exempt securities to tap into capital markets. The book examines the advantages and drawbacks of the most commonly used forms of these offerings. Exempt and Hybrid Securities Offerings also details the mechanics of conducting traditional PIPE transactions, structured PIPE transactions, institutional (debt) private placements, Rule 144A offerings, Regulation S offerings, expedited shelf takedowns, registered directs, at-the-market offerings, hedging transactions, and continuous issuance programs.

Exempt and Hybrid Securities Offerings features comprehensive appendices and a separate volume of forms, which are stocked with checklists, timelines, relevant no-action letters, and a wealth of sample documents, including questionnaires, confidentiality and non-disclosure agreements, purchase and subscription agreements, and distribution agreements.
