AMD Appoints W. Michael Barnes, Retired Rockwell CFO, to Board of Directors

SUNNYVALE, Calif.--(BUSINESS WIRE)--Oct. 29, 2003--AMD (NYSE:AMD) today announced the appointment of W. Michael Barnes, retired senior vice president and chief financial officer of Rockwell International Corporation, to its board of directors. Mr. Barnes, 61, was elected at AMD's most recent board of director's meeting.

"From his tenure at Rockwell, Mike brings outstanding financial and operational experience to AMD," said W.J. Sanders III, AMD chairman of the board. About W. Michael Barnes

Until his retirement in 2001, W. Michael Barnes was senior vice president and chief financial officer of Rockwell International Corporation. He was appointed to this position in July 1991 at which time Rockwell was a diversified $14 billion industrial manufacturing company with major businesses in aerospace, defense electronics, semiconductor systems, factory automation products, automotive components and graphic systems.

Barnes joined Collins Radio Company, now a NYSE company named Rockwell Collins, in 1968 as a member of the corporate operations research staff in Dallas. Collins was acquired by Rockwell in 1971.

In 1972, he was named director of finance for the Rockwell MOS/Components Division in Newport Beach, California. The following year, Barnes was appointed vice president of finance of Rockwell's Telecommunications Systems Division, a defense electronics business. In 1977, he was appointed vice president and general manager of Rockwell Collins Communications Switching Systems Division. From 1986 until 1989, Barnes served as liaison executive to the then recently acquired Allen Bradley Company, a leader in factory automation.

He was named a distinguished alumni by the Texas A&M University College of Engineering in 1992, is a member of the Texas A&M University chancellor's Century Council and is on the university's Engineering Advisory Board. In 1997, Barnes became a member of the Orange County Business Council and was also appointed to the governorship of Town Hall of Los Angeles. He served on the board of directors of the Independent Colleges of Southern California from 1995 until 1999. In 1996, he was elected chairman of the Conference Board's Council of Financial Executives. From 2000 to 2002, Barnes served on the board of A.O. Smith Corporation (NYSE: AOS), a global manufacturer of electric motors, and commercial and residential water heaters.

Barnes earned a Ph.D. in operations research from Texas A&M University. He also holds bachelors and masters degrees in industrial engineering from Texas A&M.
