CeriStar Signs Letter of Intent to Deliver Triple Play Services to Fastest Growing Community in Utah

December 4, 2003

CeriStar, Inc. (OTC BB: CTRI), a premier IP (Internet Protocol) Communications Services Provider, reported today that the company has signed a Letter of Intent with Mana Networks Inc. to engineer and deploy fiber optic and Ethernet infrastructure that will support the co-marketing, delivery and management of integrated voice, video and high-speed data services in St. George, Utah.

The greater St. George area is the fastest growing community in Utah and currently has approximately 35,000 households and 3,300 businesses. St. George has also recently appeared on a number of national lists as one of the fastest growing regions in the U.S. The combination of a world class data center facility supported by high speed redundant fiber optic broadband will put St. George on a growing list of leading-edge Optical Fiber Communities across the country that are capable of supporting the delivery of “best of breed” integrated communications services to residents and businesses for many years to come.

Chris Chandler, CEO of Mana Networks, stated, “St. George represents an important opportunity in the master planned community market, growing faster than any other part of Utah, and it is a ‘model city’ because of its comparative demographics and location relative to other fast growing cities where we can easily replicate our business model in other underserved markets. Working with Ceristar puts us in position to deliver converged services over an all IP platform.”

Under the proposed agreement, CeriStar and Mana Networks will undertake a Joint Marketing Initiative in the St. George area. Mana will provide the demarcation point to communities and businesses and to develop and maintain the infrastructure that will transport converged communications services to end users from the central office. CeriStar will provide project engineering and management support to integrate and deliver “Triple Play” communications services to residential and commercial customers on the network. Based on its residential service model, CeriStar estimates that the project should generate $80-$120 per month per home in service contract revenue.

“Our integrated pricing structure for telephone, cable TV and high-speed Internet connection is very competitive with ‘bundled’ or separate packages offered by traditional providers,” stated Mike Miller, CeriStar COO. “In addition, St. George customers will receive numerous feature advantages, such as ‘follow me’ services and games-on-demand, as well as a ‘future proof’ communications network that will accommodate enormous bandwidth to support rapidly evolving services and applications, such as HDTV.”

Mana Networks has initially established Letters of Intent with 4 new “Greenfield” residential developments in the St. George area, representing approximately 12,000 new homes upon completion. Under the Joint Marketing Initiative, CeriStar and Mana are expected to leverage the initial base of customers and the community data center to rapidly expand their base of residential and commercial customers on the network within the southern Utah area.

“Residents and businesses in St. George have historically had extremely limited options in terms of voice, video and Internet services available to them. They will soon have a redundant fiber optic network and infrastructure that will support virtually unlimited communications services and that will take them well into the future,” stated Fred Weismiller, CEO and President of CeriStar. “We are excited about our new relationship with Mana Networks. Our combined expertise to integrate and deliver the ‘Triple Play’ gives us a tremendous advantage to compete in the St. George area and in the region.”
