Board of Directors of Chunghwa Telecom Resolves to Distribute Dividend Per Share of NT$4.5 for Year 2005

Chunghwa Telecom Co., Ltd. ("CHT", TAIEX:2412, NYSE:CHT) today announced dividend per share of NT$4.5 for year 2005.
Board of Directors (BoD) of the Company resolved to distribute a cash dividend of NT$4.3 and a stock dividend of NT$0.2 per share for year 2005. Additionally, in accordance with the Telecommunications Act and the Articles of Incorporation of Chunghwa Telecom, BoD of the Company also passed to issue two preferred shares to be subscribed for by Ministry of Transportation and Communications (MoTC). The MoTC, as the holder of these preferred shares, will have the right to veto any change in the Company's name or business and any transfer of a substantial part of the Company's business or property. The two preferred shares are not allowed to transfer within three years and will be redeemed at their par value and deregistered by the Company in three years from the date of their issuance.
