Over the last five years, BeNotified has created an innovative, carrier-class, real time communications software platform. BeNotified has decided to focus the company on its roots as a developer of advanced real-time communications technology. It will no longer pursue direct end-user customer relationships for applications based on its technology. Instead, it will offer its leading edge technology in source code form to a broad range of software and service companies who are developing the next generation of presence aware, policy managed real time communications products.

The company is offering two parallel auctions: 1) a “modified Dutch auction” for a non-exclusive license to the source code offered to multiple successful bidders at a market-clearing price, together with ongoing support and technical assistance, and 2) a more traditional auction for an exclusive license to the same technology for a single winning bidder. Interested parties can bid in either auction. The modified Dutch auction is similar in concept to the recently announced auction process for the upcoming Google Initial Public Offering.
Mr. Willis also observed that the auctions were strategic and not merely financial. “By making the Dutch auction available to the large universe of companies building next generation communications products, and then restricting BeNotified from dealing with non-bidders and non-winners for two years, we believe we will generate significant interest and activity.
